We also serve as a strategic business partner to clients and represent them in “pre-litigation” corporate matters, requiring advice and counsel in conducting their corporate affairs to optimize results in any potential litigation. We have represented private and public companies, their directors and officers, and financial services industry clients on risk avoidance, compliance, and corporate governance.

Representative Matters

Provided strategic counsel to senior executives in separation negotiations involving equity compensation and non-compete clauses.

Represented biotech-focused private equity fund in 13D and proxy fight litigation in Delaware Chancery Court and U.S. District Court; obtained TRO to stop challenged transaction.

Represented the estate of a celebrity in litigation involving right of publicity and unauthorized use of name and likeness.

Travel to Papua New Guinea and negotiate with government officials and parties concerning foreign investment, technology, licensing and operations.

Travel to Guinea-Conakry and negotiate with government officials and parties concerning licensing, operations and distribution.
